This is a client of TGC search

A reputed law firm is seeking a Corporate Paralegal to join its growing Corporate/M&A practice in Dallas, TX . This is a great opportunity for a detail-oriented and proactive professional to work alongside top attorneys on complex transactions.

They have a hybrid schedule (3x in office/week).

Responsibilities:

  • Support attorneys on M&A deals, entity formation, and corporate governance
  • Draft and review key documents (operating agreements, board resolutions, closing binders, etc.)
  • Manage compliance filings and corporate records across jurisdictions
  • Coordinate transaction closings, signature packets, and post-closing logistics
  • Communicate with clients, regulatory agencies, and vendors
  • Maintain cap tables, calendars, and file management systems
  • Track and log billable time and case expenses

Qualifications

  • 3+ years of experience as a corporate paralegal at a law firm
  • Strong knowledge of corporate law, entity formation, and compliance
  • Experience supporting general corporate transactions – real estate, M&A, IP etc
  • Paralegal certificate (preferred); bachelor’s degree (preferred)
  • Excellent communication, organizational, and tech skills
  • Experience with Microsoft Office + legal systems (iManage, Aderant, and Chromeriver)
